Welcome to Faktorist. These Terms of Service ("Terms") govern your access to and use of the Faktorist platform, including our website, services, and tools (collectively, the "Platform"). By using our Platform, you agree to be bound by these Terms.

• "Platform" refers to Faktorist's B2B export platform and related services
• "User" refers to any registered company or individual using the Platform
• "Seller" refers to Ukrainian manufacturers and exporters
• "Buyer" refers to international companies purchasing through the Platform
• "Services" refers to all features and services provided by Faktorist

3. Account Registration and Verification

3.1 Registration Requirements

• Users must provide accurate and complete company information
• Users must be legally authorized to represent their company
• All registration information must be kept current and updated as needed

3.2 Verification Process

• All users must complete our verification process
• Required documentation must be submitted for verification
• Faktorist reserves the right to reject or suspend accounts

4. Platform Usage

4.1 Permitted Use

• Business-to-business transactions only
• Legitimate trade activities
• Professional communication and conduct

4.2 Prohibited Activities

• Fraudulent or misleading activities
• Violation of any applicable laws or regulations
• Unauthorized data collection or scraping
• Interference with Platform operations

5. Fees and Payments

5.1 Subscription Fees

• Basic Plan: 1,990€/year
• Professional Plan: 4,990€/year
• Enterprise Plan: 9,990€/year

5.2 Transaction Fees

• 1-10% commission on successful transactions
• Fee varies based on deal value and complexity
• Fees are non-refundable unless otherwise stated

6. Intellectual Property Rights

6.1 Platform Content

• All Platform content is owned by Faktorist
• Users retain rights to their own content
• Limited license granted for Platform use

7. User Content and Responsibilities

7.1 Content Requirements

• Accurate product and company information
• Proper authorization for shared content
• Compliance with applicable laws

8. Limitation of Liability

8.1 Platform Liability

• Faktorist acts as a platform facilitator only
• Not responsible for user transactions
• Limited liability for service interruptions

9. Dispute Resolution

9.1 Process

• Users must attempt direct resolution first
• Mediation services available if needed
• Binding arbitration as last resort

10. Termination

10.1 Termination Rights

• Users may terminate account with notice
• Faktorist may terminate for violations
• Effect on ongoing transactions

11. Changes to Terms

We reserve the right to modify these Terms at any time. Users will be notified of significant changes.

12. Governing Law

These Terms are governed by the laws of Ukraine. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ukraine.
