1. Acceptance of Terms

By accessing or using Faktorist ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you and Faktorist. Please read them carefully before using our services.

2. Description of Service

Faktorist is a B2B marketplace platform that connects buyers with suppliers worldwide. Our services include:

  • Supplier directory and search functionality
  • Product catalog and listings
  • Request for Quotation (RFQ) system
  • Messaging and communication tools
  • Trade data and analytics
  • AI-powered matching and recommendations

3. User Accounts

Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain and update your information as necessary
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access

Account Types

We offer different account types (Buyer, Supplier, etc.) with varying features and responsibilities. You must select the appropriate account type for your intended use.

4. User Conduct

You agree NOT to:

  • Provide false or misleading information
  • Impersonate another person or entity
  • Use the Platform for illegal purposes
  • Infringe on intellectual property rights
  • Transmit malware or harmful code
  • Interfere with the Platform's operation
  • Scrape or harvest data without permission
  • Engage in spam or unsolicited communications
  • Circumvent security measures

5. Transactions Between Users

Faktorist facilitates connections between buyers and suppliers but is NOT a party to transactions between users. You acknowledge that:

  • All transactions are between buyers and suppliers directly
  • Faktorist does not guarantee the quality, safety, or legality of products
  • Faktorist does not guarantee the accuracy of supplier information
  • You are responsible for conducting due diligence
  • Payment and delivery terms are agreed between parties

6. Supplier Responsibilities

If you are a Supplier, you agree to:

  • Provide accurate product information and pricing
  • Maintain required licenses and certifications
  • Respond to RFQs in good faith
  • Honor agreed-upon terms and conditions
  • Comply with all applicable laws and regulations
  • Not list prohibited or illegal products

7. Buyer Responsibilities

If you are a Buyer, you agree to:

  • Submit RFQs in good faith
  • Provide accurate requirements and specifications
  • Conduct appropriate due diligence on suppliers
  • Honor accepted quotations and agreements
  • Comply with import regulations and requirements

8. Fees and Payments

Some features of the Platform require payment. By using paid features:

  • You agree to pay all applicable fees
  • Fees are non-refundable unless otherwise stated
  • We may change fees with reasonable notice
  • Failure to pay may result in account suspension

9. Intellectual Property

The Platform and its content (excluding user-generated content) are owned by Faktorist and protected by intellectual property laws. You may not:

  • Copy or reproduce Platform content without permission
  • Use our trademarks without authorization
  • Reverse engineer or decompile our software

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, secure, or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAKTORIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Indemnification

You agree to indemnify and hold harmless Faktorist, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of these Terms.

13. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination:

  • Your right to use the Platform ceases immediately
  • We may delete your account data
  • Provisions that should survive will remain in effect

14. Governing Law

These Terms are governed by the laws of Italy, without regard to conflict of law principles. Any disputes shall be resolved in the competent courts of Italy.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform. Your continued use after such changes constitutes acceptance of the modified Terms.
